Divi Den Affiliate Programme Terms & Conditions
Thank you for considering the Divi Den Affiliate programme (DDAP). Our affiliates are very important to us. This agreement is designed with you in mind, as well as protecting you, Divi Den and our customers. Please read thoroughly.
General Terms
By checking the box indicating that you agree to the Terms and Conditions of this DDAP, or by continuing to participate in the programme following our posting of a change notice or revised agreement on the Divi Den site and, in the case of changes to the contractual terms of this DDAP, sending a notification to the email address then-currently associated with your programme account, you:
- Agree to be bound by this DDAP and the operational documentation
- Acknowledge and agree that you have independently evaluated the desirability of participating in the programme and are not relying on any representation, guarantee, or statement other than as expressly set down in this DDAP
- Hereby represent and warrant that you are lawfully able to enter into contracts. e.g. you are not a minor or otherwise legally prevented from contracting and that you are and will remain in compliance with this DDAP, including the Affiliates programme participation requirement
- If agreeing on behalf of a company you confirm that you are authorised and lawfully able to bind that company or entity to this DDAP
Affiliate Agreement
This agreement describes the terms and conditions for participation in the Divi Den affiliate programme. In this agreement, the term “Affiliate” refers to you (the applicant). In this agreement, “Divi Den” refers to Divi Den, owned by Yeah Can Design Studio UG, a Berlin registered business, with whom you are entering this agreement. By applying to the Divi Den affiliate programme you are confirming that you have read the agreement and agree to the terms and conditions.
Affiliate Programme
There is one type of Affiliate programme with Divi Den: 30 day recurring.
Commissions
For a sale to generate a commission to an Affiliate, the customer must complete the order form and remit full payment for the product. Commissions will only be paid on sales that are made when the customer clicks through qualified, correctly structured Affiliate links. Properly coded links are the sole responsibility of the affiliate. Commissions can be viewed on the Affiliate Dashboard.
On a recurring payment schedule, the Affiliate will continue to accumulate commissions for each paid transaction by the customer for a period of 30 days calculated from the first purchase date.
Payment
An Affiliate can request a payment when their balance reaches a minimum balance of €100. Payments can be requested every 30 days. Payment processing can take up to 30 days from the request date. Payments will be paid out via PayPal.
Refunds
In the event a customer requests a refund for a transaction for which the Affiliate has earned commissions, any commissions earned on the refund amount will be deducted from the Affiliate’s balance.
Usage and Obligations
Affiliates are permitted to use the Divi Den brand and marketing resources available in the Affiliates section of the Divi Den application. Logos and other assets cannot be modified. The Affiliate does not gain any trademark, copyright or any other rights to these materials.
The Affiliate will never imply that they are acting on behalf of Divi Den and will never advertise Divi Den products directly. The Affiliate will never bid for advertisements that compete with Divi Den.
The Affiliate will never represent themselves, Divi Den or their relationship with Divi Den in a false or misleading way.
The Affiliate will not engage in the distribution of an unsolicited bulk email (spam) mentioning or referencing Divi Den.
Term and Termination
Either party has the right to terminate the agreement immediately without prior notice.
If the Affiliate terminates the agreement, any balance greater than €100 will be paid to the affiliate within 60 days of termination. no further commissions from Divi Den will be paid for any future customer transactions.
If Divi Den chooses to terminate the agreement, any balance greater than €50 will be paid to the affiliate within 60 days of termination. Balances that are smaller than €50 will be forfeited.
Affiliates on a recurring programme, Divi Den will not be obligated for any future payments after termination.
Governing Law
This Agreement shall be governed, construed, and enforced in accordance with the laws of Malaysia.
Arbitration
All claims and disputes arising under or relating to this Agreement are to be settled by binding arbitration in Malaysia. An award of arbitration may be confirmed in a court of competent jurisdiction.
Modification
We may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but not limited to changes in the scope of available commissions, commission schedules, payment procedures and Affiliate programme rules.
